Such Investor has independently evaluated the merits of its decision to purchase Securities pursuant to this Agreement, such decision has been independently made by such Investor and such Investor confirms that it has only relied on the advice of its own business and/or legal counsel and not on the advice of any other Investor’s business and/or legal counsel in making such decision.

If such Investor is other than Steelhead Investments Ltd., such Investor represents and warrants that Bxxxx Xxxx LLP has not acted as its legal counsel in connection with the transactions contemplated by this Agreement.

Such Investor has independently evaluated the merits of its decision to purchase Securities Shares pursuant to this Agreementthe Transaction Documents, such decision has been independently made by such Investor and such Investor confirms that it has only not relied on the advice of its own business and/or legal counsel and not on the advice of any other Investor’s business and/or legal counsel in making such decision. The Company acknowledges and agrees that no Investor has made or makes any representations or warranties with respect to the transactions contemplated hereby other than those specifically set forth in this Section 3.2.

Independent Investment Decision. Such The Investor has independently evaluated the merits of its decision to purchase Securities pursuant to this Agreement, such decision has been independently made by such Investor and such the Investor confirms that it has only not relied on the advice of its own business and/or legal counsel and not on the advice of any other Investor’s business and/or legal counsel in making such decision. The Company acknowledges and agrees that the Investor neither has made nor makes any representations or warranties with respect to the transactions contemplated hereby other than those specifically set forth in this Section 3.2.
