Independent Financial Advisor Opinion. Lender shall have received a copy of a favorable opinion rendered by the Independent Financial Advisor that (a) values Borrower at not less than Twenty-Two Million Dollars ($22,000,000), (b) values the trademarks and other intangibles of Borrower at not less than Seven Million Dollars ($7,000,000), and (c) indicates that the Recapitalization Transactions are fair to the ESOP from a financial perspective.
