Common use of Independent Counsel Clause in Contracts

Independent Counsel. Purchaser and Seller each acknowledge that: (a) they have been represented by independent counsel in connection with this Agreement; (b) they have executed this Agreement with the advice of such counsel; and (c) this Agreement is the result of negotiations between the parties hereto and the advice and assistance of their respective counsel. The fact that this Agreement was prepared by Seller's counsel as a matter of convenience shall have no import or significance. Any uncertainty or ambiguity in this Agreement shall not be construed against Seller because Seller's counsel prepared this Agreement in its final form.

Independent Counsel. Purchaser Buyer and Seller each acknowledge that: (ai) they have been represented by independent counsel in connection with this Agreement; (bii) they have executed this Agreement with the advice of such counsel; and (ciii) this Agreement is the result of negotiations between the parties hereto and the advice and assistance of their respective counsel. The fact that the initial draft of this Agreement was prepared by Seller's Sellers’ counsel as a matter of convenience shall have no import or significance. Any uncertainty or ambiguity in this Agreement shall not be construed against Seller Sellers because Seller's Sellers’ counsel prepared this Agreement in its final form.

The fact that this Agreement was prepared by Seller's Seller“s counsel as a matter of convenience shall have no import or significance. Any uncertainty or ambiguity in this Agreement shall not be construed against Seller because Seller's ’s counsel prepared this Agreement in its final form.

Any uncertainty or ambiguity in this Agreement shall not be construed against Seller Sellers because Seller's Sellers’ counsel prepared this Agreement in its final form.
