Common use of Independent Accountants of the Company Clause in Contracts

Independent Accountants of the Company. KPMG LLP, which has expressed its opinion with respect to certain of the financial statements (which term as used in this Agreement includes the related notes thereto) of the Company and its subsidiaries incorporated by reference in the Registration Statement, the Time of Sale Prospectus and the Prospectus, is (i) an independent registered public accounting firm as required by the Securities Act, and the rules of the Public Company Accounting Oversight Board (“PCAOB”), and (ii) a registered public accounting firm as defined by the PCAOB whose registration has not been suspended or revoked and who has not, to the Company’s knowledge, requested such registration to be withdrawn. With respect to the Company, KPMG LLP is not and has not been in violation of the auditor independence requirements of the Xxxxxxxx-Xxxxx Act and the related rules and regulations of the Commission.
