INDEMNITY; SUCCESSOR CUSTODIAN; ETC. The Custodian shall be ------------------------------------ entitled to, and is hereby granted, immunities, indemnities, exculpations and protections of the same scope and extent as those provided to the Trustee pursuant to the Pooling and Servicing Agreement as if no Event of Default has occurred and is continuing. If the Trustee shall resign or be removed pursuant to Section 11.10 of the Pooling and Servicing Agreement, the Custodian shall be released from its duties hereunder and the successor Trustee shall appoint a new Custodian or assume the duties and the responsibilities of the Custodian hereunder. The Custodian shall not otherwise resign without the consent of the Trustee and the Servicer.
