Common use of INDEMNITEES AND EXPENSES Clause in Contracts

INDEMNITEES AND EXPENSES. TMM shall, whether or not the transactions herein contemplated are consummated, pay or reimburse (i) each of the Trustee and the Purchasers, promptly upon demand by such Person, for all costs and expenses (including reasonable attorney costs and consultants' fees and disbursements) incurred by or charged to any such Person in connection with the preparation, negotiation, closing or administration of this Supplement, the other Transaction Documents or any other documents relating thereto and (ii) each of the Trustee and the Purchasers, promptly upon demand by such Person, for all costs and expenses (including reasonable attorney costs and consultants' fees and disbursements) incurred by or charged to any such Person in connection with (A) the enforcement of this Supplement, the other Transaction Documents or any other documents relating thereto, (B) the protection or preservation of any right or claim of any such Person against TMM or the other Sellers arising out of this Supplement, any other Transaction Document or any such other document, or (C) any amendment or modification to, or consent or waiver in connection with, any Transaction Document or any such other document. The provisions of this SECTION 10.3 will survive the termination of the Trust and the resignation or removal of any Person acting as Trustee.
