Indemnification of Trustee and THDA. Owner shall indemnify and hold harmless THDA and THDA’s directors, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, injuries, demands, injuries to persons or property, costs and expenses, including legal costs and expenses, losses and causes of action, of every kind and nature whatsoever and by whomsoever made, arising from or in any manner directly or indirectly growing out of (a) the use and occupancy or nonuse of the Property or any equipment or facilities thereon or used in connection therewith by anyone whomsoever, (b) any repairs, construction, restoration, replacements, alterations, remodeling on or to the Property, or any part thereof, or any equipment or facilities therein or thereon, (c) the status of title, including the priority or validity hereof, or any related matters in any lawsuit, (d) the condition of the Property, including any adjoining sidewalks, ways or alleys and any equipment or facilities at any time located thereon or used in connection therewith,
