Common use of Indemnification of Indemnitee Clause in Contracts

Indemnification of Indemnitee. The Company hereby agrees that it shall hold harmless and indemnify Indemnitee to the fullest extent authorized and permitted by the provisions of the Certificate and Bylaws and the provisions of the Corporation Law, or by any amendment thereof, but in the case of any such amendment, only to the extent that such amendment permits the Company to provide broader indemnification rights than the Certificate, Bylaws or Corporation Law permitted the Company to provide prior to such amendment, or other statutory provisions authorizing or permitting such indemnification which is adopted after the date hereof.

The Company hereby agrees that it shall to hold harmless and indemnify Indemnitee to the fullest extent authorized and or permitted by the provisions of the Certificate and Bylaws and the provisions of the Corporation LawState Statute, or by any successor statute or amendment thereof, thereof (but in the case of any such amendment, only to the extent that such amendment permits the Company to provide broader indemnification rights than the Certificate, Bylaws or Corporation Law the State Statute permitted the Company to provide prior to the adoption of such amendment), or any other statutory provisions authorizing or permitting such indemnification which that is adopted after the date hereofof this Agreement.
