Indemnification of Directors and Officers; Tail Insurance Sample Clauses
The "Indemnification of Directors and Officers; Tail Insurance" clause ensures that a company will protect its directors and officers from personal financial loss arising from claims related to their service in those roles. Typically, this means the company agrees to cover legal fees, settlements, or judgments incurred by directors and officers in connection with lawsuits or investigations, and may also require the purchase of "tail insurance" to extend coverage for claims made after their service ends. This clause is crucial for attracting and retaining qualified leadership by mitigating personal liability risks and providing ongoing protection even after their tenure.
