Indemnification from Prior Legal Fees and Costs. Subject to the Closing, Buyer and ▇▇▇▇▇▇ ▇▇▇▇▇▇▇, jointly and severally, agree to defend, indemnify and hold Seller and Parent, and each of them, and each of their respective shareholders, directors, officers, agents, attorneys and representatives, free and harmless from any and all claims, suits, damages, liabilities, losses, costs and expenses (including attorneys’ fees), arising out of or related in any manner whatsoever to all prior efforts (“Prior Efforts”) of the Sirolly Brothers (defined below), jointly or severally, to acquire the Assets and/or the Real Property of Seller. As used herein, the term “Sirolly Brothers” shall mean ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ and/or ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇ and/or any entity involved in the Prior Efforts to acquire such Assets and/or Real Property of Seller.
