Common use of Indemnification by the Members Clause in Contracts

Indemnification by the Members. Each Member hereby agrees to indemnify and defend the Company, the other Members and each of their respective employees, agents, partners, members, shareholders, officers and directors and hold them harmless from and against any and all claims, liabilities, damages, costs and expenses (including, without limitation, court costs and attorneys' fees and expenses) suffered or incurred on account of or arising out of any breach of this Agreement by that Member.

Indemnification by the Members. Each Member hereby agrees to indemnify and defend the Company, the other Members and each of their respective employees, agents, partners, members, shareholders, officers and directors and hold them harmless from and against any and all claims, liabilities, damages, costs and expenses (including, without limitation, court costs and attorneys' ’ fees and expenses) suffered or incurred on account of or arising out of any breach of this Agreement by that Member.

Indemnification by the Members. Each Member hereby agrees to indemnify and defend the Company, the other Members and each of their respective employees, agents, partners, members, shareholders, officers and directors directors, if any, and hold them harmless from and against any and all claims, liabilities, damages, costs and expenses (including, without limitation, court costs and attorneys' fees and expenses) suffered or incurred by the Company on account of or arising out of any breach of this Agreement by that Member.

Indemnification by the Members. Each Member hereby agrees to indemnify and defend hold harmless the Company, the other Members Company and each of their respective employees, agents, partners, members, shareholders, officers and directors and hold them harmless other Member from and against any and all losses, claims, damages, liabilities, damagescharges, costs and expenses (including, without limitation, court costs and including reasonable attorneys' fees and expenses’ fees) suffered or incurred on account of or actually sustained by any such Person arising out of any breach by such indemnifying Member of any of its representations, covenants, obligations or agreements contained in this Agreement by that Memberor any Project Agreement.

Indemnification by the Members. Each To the fullest extent permitted by law, each Member hereby agrees to shall indemnify and defend the Company, the other Members each Manager and each of their respective employees, agents, partners, members, shareholders, officers and directors other Member and hold them harmless from and against any and all claimslosses, costs, liabilities, damages, costs and expenses (including, without limitation, court costs of suits and attorneys' fees and expensesattorney’s fees) suffered or incurred they may incur on account of or arising out of any breach by that Member of this Agreement by that MemberAgreement.
