Indemnification by Network Operator Clause Samples
Indemnification by Network Operator. For purposes of this ARTICLE, the term “Network Operator” shall include each and all of its subcontractors, assignees, and any other third party acting at the direction of them. To the maximum extent permitted by law, the Network Operator shall indemnify, defend and hold harmless WW, its Affiliates, members, officers, directors, employees, agents, successors and assigns, as Indemnified Parties, from and against all claims, liabilities, costs, or expenses arising out of: (a) bodily injury, death, personal injury or property damage resulting from the negligence or willful misconduct of Network Operator, (b) claims by third parties for breach by the Network Operator of, or default by the Network Operator under, any contract between Network Operator and such third party, (c) any loss, cost, damage or expense resulting from Network Operator's non- compliance with applicable laws, orders, or rules of any governmental authority, (d) any loss, cost, damage or expense resulting from Network Operator's act or omission that causes, in whole or in part, WW to breach any agreement between WW and a pole owner, conduit owner, Commercial Customer, or any other person relating to the WW Network, or (e) any loss, cost, damage or expense resulting from Network Operator's infringement or misappropriation of, any patent, trade secret, copyright or other proprietary right of any third party.
