Indemnification by Command. Command agrees to indemnify, defend and hold harmless KORU, its officers, agents, and employees from any and all liability, loss (including reasonable attorneys’ fees), or damage they may suffer as the result of claims, demands, costs or judgments against them arising out of: (a) a failure by Command, its officers, agents, employees, contractors or consultants to adhere to this Agreement or the KORU Purchase Order received from KORU; (b) negligence, recklessness or willful misconduct on the part of Command, its officers, agents, employees, contractors or consultants; or (c) a breach of any applicable Federal, state or local law or of this Agreement by Command, its officers, agents, employees, contractors or consultants.
