Indemnification and Subcontracting. Carrier shall defend, indemnify, and hold harmless Shipper from any and all losses, damages, fines, penalties, costs, or expenses (including attorneys’ fees) arising out of or related to Carrier’s gross negligence in performing Services under this Agreement. Carrier shall not subcontract any non-transportation Services without the prior written consent of Broker.
