Common use of Indemnification Amount Clause in Contracts

Indemnification Amount. In the event that a Party is obligated to indemnify another Party under this Article, the amount owing to the Indemnified Party shall be the amount of the Indemnified Party's actual out-of-pocket loss net of any insurance proceeds received by, or other recovery by, the Indemnified Party.

Indemnification Amount. In the event that a Party is obligated to indemnify another and hold an Indemnified Party harmless under this ArticleSection 14.1 or 14.2 hereof, the amount owing to the Indemnified Party shall will be the amount of the Indemnified Partysuch party's actual out-of-pocket loss net of any insurance proceeds received by, or other recovery by, the Indemnified Partyrecovery.

In the event that a Party is obligated to indemnify another and hold the other Party and its successors and assigns harmless under this ArticleSection 20.1, the amount owing to the Indemnified indemnified Party shall be the amount of the Indemnified such Party's actual out-of-of- pocket loss and expenses net of any net insurance proceeds received by, or other actual recovery bybut shall not include any special, the Indemnified Partyincidental, consequential or punitive damages.
