Common use of Incumbency Clause in Contracts

Incumbency. Purchaser shall have received a certificate of incumbency of Seller executed by the President and Secretary of Seller listing the officers of Seller authorized to execute the Agreement and the instruments of transfer and conveyance on behalf of Seller, certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller in connection with the consummation of the transactions contemplated herein.

Incumbency. Purchaser shall have received a certificate of incumbency ---------- of Seller executed by the President and Secretary or Assistant Secretary of Seller listing the officers of Seller authorized to execute the Agreement agreement and the instruments of transfer and conveyance on behalf of Seller, certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller in connection with the consummation of the transactions contemplated herein.

Incumbency. Purchaser shall have received a certificate of incumbency of Seller executed by the a Vice President and Secretary or Assistant Secretary of Seller the General Partner listing the officers of Seller the General Partner authorized to execute the Agreement agreement and the instruments of transfer and conveyance on behalf of Seller, certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller in connection with the consummation of the transactions contemplated herein.

Purchaser Seller shall have received a certificate of incumbency of Seller ---------- Purchaser executed by the President and Secretary or Assistant Secretary of Seller Purchaser listing the officers of Seller Purchaser authorized to execute this Agreement and the Agreement other Acquisition Documents to which Purchaser is a party and the instruments of transfer and conveyance assumption on behalf of Seller, Purchaser and certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller Purchaser in connection with the consummation of the transactions contemplated herein.

Purchaser Seller shall have received a certificate of incumbency of Seller Purchaser executed by the President and attested by the Secretary or Assistant Secretary of Seller Purchaser listing the officers of Seller Purchaser authorized to execute this Agreement and the Agreement other Acquisition Documents to which Purchaser is a party and the instruments of transfer and conveyance assumption on behalf of Seller, Purchaser and certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller Purchaser in connection with the consummation of the transactions contemplated herein.

Purchaser Seller shall have received a certificate of incumbency of Seller Purchaser executed by the Chairman or President and attested by the Secretary or Assistant Secretary of Seller Purchaser listing the officers of Seller Purchaser authorized to execute this Agreement and the Agreement other Acquisition Documents to which Purchaser is a party and the instruments of transfer and conveyance assumption on behalf of Seller, Purchaser and certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller Purchaser in connection with the consummation of the transactions contemplated herein.

Purchaser shall have received a certificate of incumbency of Seller and Shareholder executed by the President and Secretary or Assistant Secretary of each of Seller and Shareholder listing the officers of Seller and Shareholder authorized to execute the Agreement agreement and the instruments of transfer and conveyance on behalf of SellerSeller and Shareholder, certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller and Shareholder in connection with the consummation of the transactions contemplated herein.

Incumbency. Purchaser Seller shall have received a certificate certificates of ---------- incumbency of Seller Purchaser executed by the President officers of Purchaser executing this Agreement, and attested by the Secretary or Assistant Secretary of Seller Purchaser listing the officers of Seller Purchaser authorized to execute the this Agreement and the other Purchase Documents to which Purchaser is a party and all instruments of transfer and conveyance on behalf of Seller, Purchaser and certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller Purchaser in connection with the consummation of the transactions contemplated herein.

Purchaser Seller shall have received a certificate of incumbency of Seller Purchaser executed by the President and Secretary or Assistant Secretary of Seller Purchaser listing the officers of Seller Purchaser authorized to execute this Agreement and the Agreement other Acquisition Documents to which Purchaser is a party and the instruments of transfer and conveyance assumption on behalf of Seller, Purchaser and certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller Purchaser in connection with the consummation of the transactions contemplated herein.

Purchaser Seller and the Shareholder shall have received a certificate of incumbency of Seller Purchaser executed by the President and Secretary or Assistant Secretary of Seller Purchaser listing the officers of Seller Purchaser authorized to execute this Agreement and the Agreement other Acquisition Documents to which Purchaser is a party and the instruments of transfer and conveyance assumption on behalf of Seller, Purchaser and certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller Purchaser in connection with the consummation of the transactions contemplated herein.

Purchaser shall have received a certificate of incumbency of Seller executed by the President and Secretary of Seller a secretary thereof listing the officers of Seller authorized to execute the this Agreement and the instruments of transfer and conveyance on behalf of Seller, certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller in connection with the consummation of the transactions contemplated herein.

Incumbency. Purchaser Seller shall have received a certificate of incumbency of Seller ----------- Purchaser executed by the President and attested by the Secretary or Assistant Secretary of Seller Purchaser listing the officers of Seller Purchaser authorized to execute this Agreement and the Agreement other Acquisition Documents to which Purchaser is a party and the instruments of transfer and conveyance assumption on behalf of Seller, Purchaser and certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller Purchaser in connection with the consummation of the transactions contemplated herein.

Purchaser shall have received a certificate of incumbency of each Seller executed by the President and Secretary or Assistant Secretary of such Seller listing the officers of such Seller authorized to execute the Agreement Acquisition Document to which such Seller is a party and the instruments of transfer and conveyance on behalf of Sellersuch Seller and, certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of such Seller in connection with the consummation of the transactions contemplated herein.

Incumbency. Purchaser shall have received a certificate of incumbency of the Seller executed by the President and a Secretary of Seller or Assistant Secretary thereof listing the officers of Seller authorized to execute the this Agreement and the instruments of transfer and conveyance on behalf of Seller, certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller in connection with the consummation of the transactions contemplated herein.

Purchaser Seller shall have received a certificate of incumbency of Seller Purchaser executed by the President and Secretary of Seller Purchaser listing the officers of Seller Purchaser authorized to execute the Agreement and the instruments of transfer and conveyance on behalf of SellerPurchaser, certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller Purchaser in connection with the consummation of the transactions contemplated herein.

Purchaser Sellers shall have received a certificate of incumbency of Seller Purchaser executed by the President and Secretary or Assistant Secretary of Seller Purchaser listing the officers of Seller Purchaser authorized to execute the Agreement Acquisition Documents to which Purchaser is a party and the instruments of transfer and conveyance assumption on behalf of Seller, Purchaser and certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller Purchaser in connection with the consummation of the transactions contemplated herein.

Incumbency. Purchaser shall have received a certificate certificates of ---------- incumbency of Seller executed by the President officers of Seller executing this Agreement, and attested by the Secretary or Assistant Secretary of Seller listing the officers of Seller authorized to execute the this Agreement and the other Purchase Documents to which Seller is a party and all instruments of transfer and conveyance on behalf of Seller, Seller and certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Seller in connection with the consummation of the transactions contemplated herein.
