Common use of Incumbency Clause in Contracts

Incumbency. Delivery to Administrative Agent of a certificate in form and substance reasonably satisfactory to the Lenders, from Borrower signed by the appropriate authorized officer and dated the Closing Date, as to the incumbency of the natural persons authorized to execute and deliver this Agreement and the other Credit Facility Documents and any instruments or agreements required hereunder or thereunder to which Borrower is a party.

Incumbency. Delivery to the Administrative Agent of a certificate certificate, in form and substance reasonably satisfactory to the Lenders, from each Borrower Party signed by the an appropriate authorized officer Responsible Officer of each such Borrower Party and dated as of the Closing Date, as to the incumbency of the natural persons Persons authorized to execute and deliver this Agreement and the other Credit Facility Documents to which such Borrower Party entered into on or prior to the Closing Date and any instruments or agreements required hereunder or thereunder to which Borrower is a partythereunder.

Incumbency. Delivery to Administrative Agent of a certificate certificate, in form and substance reasonably satisfactory to each of the LendersBanks and each of the Lender Groups, from each of Borrower and NEG, signed by the appropriate authorized officer Responsible Officer of each such Person and dated the Closing Date, as to the incumbency of the natural persons Persons authorized to execute and deliver this Agreement and the other Credit Facility Operative Documents and any instruments or agreements required hereunder or thereunder to which Borrower such Person is a party.

Delivery to Administrative Agent of a certificate in form and substance reasonably satisfactory to the Lenders, from Borrower and each Subsidiary Guarantor signed by the appropriate authorized officer and dated the Closing Date, as to the incumbency of the natural persons authorized to execute and deliver this Agreement and the other Credit Facility Documents and any instruments or agreements required hereunder or thereunder to which Borrower and each Subsidiary Guarantor is a party.

Incumbency.
