Common use of Incumbency Certificate of the Company Clause in Contracts

Incumbency Certificate of the Company. There shall have been delivered to the Purchaser a Certificate, dated the Closing Date, with respect to the incumbency and signatures of all officers of the Company signing this Agreement and any other certificate, agreement or instrument delivered on behalf of the Company in connection with this Agreement or the Closing.
