INCOMPATIBILITIES. The member of the Examination Board who considers himself to be in a state of incompatibility informs the Chairman of this. The Chairman shall examine the grounds of possible incompatibilities and make a decision. When the Chairman finds himself in a situation of incompatibility, he communicates this to the President. He will appoint a substitute if necessary.

INCOMPATIBILITIES. The following may no be designated as the Compliance Officer: a. The directors or officers of the Bank; b. The owners of more than five percent (5%) of the Bank’s stock capital; c. Individuals that have been declared bankrupt; d. Individuals that have been condemned for any crime against property or public faith; e. Individuals not conforming to the minimum conditions to be designated as Compliance Officers, pursuant to this Agreement; f. Individuals who, in the opinion of the Superintendency, do not have the appropriate profile to perform the position of Compliance Officer.

INCOMPATIBILITIES. During the Term, Company agrees to notify Siemens in writing of technical changes, enhancements, alterations, improvements or other modifications to the Products that could render such altered Product incompatible with previously provided Products or which would materially alter the manner in which such modified Products interface with Siemens' equipment using Siemens' previously specified interfaces. Such notice shall be provided at least ninety (90) days prior to delivery to allow Siemens, in the exercise of prompt due diligence, to test and determine any necessary modifications to its equipment or to the Product to ensure the continued marketability of the modified Product by Siemens, prior to delivery of Product with such changes, enhancements, alterations, improvements or other modifications. The Company and Siemens agree to establish a testing strategy that will minimize the potentiality of Product incompatibility.

INCOMPATIBILITIES. Company may modify the Products provided that such modification does not materially adversely affect form, design, fit or function as detailed in the Specifications set forth in Attachment A. Company shall notify Siemens of any modifications in writing at least sixty (60) days prior to the first delivery of modified Products. Company agrees to obtain written approval from Siemens prior to the implementation of technical changes, enhancements, alterations, improvements or other modifications to the Products materially affecting form, design, fit or function, as detailed in the Specifications set forth in Attachment C.. Company shall provide Siemens with information at least ninety (90) days prior to delivery of Products with such changes, enhancements, alterations, improvements or other modifications to allow Siemens to evaluate,test and determine any necessary modifications to its equipment or to the Product to ensure the continued marketability of the modified Product by Siemens. The Company and Siemens agree to establish a testing strategy that will minimize the potentiality of Product incompatibility.

INCOMPATIBILITIES. The person that exercises as Compliance Officer may not exercise the position of Executive of the Claims Attention System.
