IMPCO DEDUCTIONS. Notwithstanding anything herein or in an Ancillary Agreement to the contrary: (a) All compensation deductions attributable to the amounts included in the gross income of an IMPCO Optionee whether such amounts of gross income are attributable to the exercise of an IMPCO Option or a Quantum Option shall be allocated to and claimed by the IMPCO Group and the Quantum Group shall not report such deductions on its Income Tax Returns. (b) All compensation deductions attributable to the amounts included in the gross income of a Quantum Optionee as a result of the exercise of a Quantum Option or IMPCO Option after the Distribution Date shall be allocated to and claimed by the Quantum Group and the IMPCO Group shall not report such deductions on its Income Tax Returns.
