Common use of Immediate Action Clause in Contracts

Immediate Action. Unless, in Developer’s reasonable judgment, immediate action is required, Developer shall obtain the consent of National Grid, such consent to not be unreasonably withheld, prior to performing any manual switching operations at the Large Generating Facility or the Developer Attachment Facilities in response to an Emergency State either declared by NYISO, either of the Connecting Transmission Owners or otherwise regarding New York State Transmission System.
