Illegality; Severability. (a) Anything in this Agreement to the contrary notwithstanding, this Agreement is not intended and shall not be construed to require any payment to Executive which would violate any federal or state statute or regulation, including without limitation the "golden parachute payment regulations" of the Federal Deposit Insurance Corporation codified to Part 359 of title 12, Code of Federal Regulations.
(b) If any provision or provisions of this Agreement shall be held to be invalid, illegal, or unenforceable for any reason whatsoever:
(i) the validity, legality, and enforceability of the remaining provisions of this Agreement (including, without limitation, each portion of any section of this Agreement containing any such provision held to be invalid, illegal, or unenforceable) shall not in any way be affected or impaired thereby; and
(ii) to the fullest extent possible, the provisions of this Agreement (including, without limitation, each portion of any section of this Agreement containing any such provisions held to be invalid, illegal, or unenforceable) shall be construed so as to give effect to the intent manifested by the provision held invalid, illegal, or unenforceable.
Illegality; Severability. 14.6.1 The various provisions of this Agreement shall be considered legally severable, and if any provision of this Agreement or the application of any such provision to any party or circumstances shall be held invalid by a court of competent jurisdiction, the remainder of this Agreement, including without limitation the remainder of the provision held invalid, or the application of such provision to any party or circumstances other than those as to which it is held invalid, shall not be affected thereby.
14.6.2 If any provision of this Agreement is prohibited or unenforceable in any jurisdiction, any such prohibition or non-enforceability shall not by that fact alone render such provision invalid or unenforceable in any other jurisdiction.
14.6.3 To the extent permitted by Applicable Laws, each of NAC and Clarendon hereby waives any provision of Applicable Laws which renders any provision of this Agreement prohibited or unenforceable in any respect.
Illegality; Severability. If performance of any Obligation under this Agreement would require the performing party to violate the Law, then the performance shall be reduced to the level permitted by Law, and if any provision of this Agreement is determined to be illegal or invalid by a court of competent jurisdiction, then such provision only shall be void as though not set forth in this Agreement, and the remainder of this Agreement shall remain in full force and effect.

In the event any provision or provisions of this Lease Agreement shall be deemed by a court of competent jurisdiction to conflict with applicable law, such provision or provisions shall, at Landlord's option, either be deemed modified to the extent necessary to comply with such law, or severed from this Lease Agreement and shall cease to be a part thereof, if such provision or provisions are so severed, the remainder of this Lease Agreement shall remain in full force and effect.

If a court of competent jurisdiction declares any provision of this agreement to violate any applicable Law, then the parties shall negotiate in good faith to modify that provision to the extent necessary to make it legal and enforceable and to achieve a similar economic effect. If the parties cannot agree on such a modification, the provision will be deemed stricken with respect to the jurisdiction in question, and the remainder of this agreement will remain in full force and effect.

Any provision of this Agreement which is held invalid or unenforceable in any jurisdiction shall be ineffective to the extent of such invalidity or unenforceability without invalidating or rendering unenforceable the remaining provisions hereof, and any such invalidity or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provisions in any other jurisdiction.

If fulfillment of any provision hereof or any transaction related hereto or to the Letter of Credit Documents, at the time performance of such provisions shall be due, shall involve transcending the limit of validity prescribed by law, then ipso facto, the obligation to be fulfilled shall be reduced to the limit of such validity; and if any clause or provisions herein contained, operates or would prospectively operate to invalidate this Reimbursement Agreement in whole or in part, then such clause or provision only shall be void, as though not herein contained, and the remainder of this Reimbursement Agreement shall remain operative and in full force and effect.
Illegality; Severability. 20.2.1 Subject to Section 20.2.2, if it is or becomes unlawful in any jurisdiction for Sublessor to give effect to any of its obligations as contemplated by this Agreement or to continue its obligations under this Agreement, Sublessor may by notice in writing to Sublessee terminate the leasing of the Aircraft, such termination to take effect on the latest date (the “Illegality Date”) on which Sublessor may continue such leasing and such obligations without being in breach of applicable Regulations, and Sublessee will forthwith redeliver the Aircraft to Sublessor in accordance with Section 18. Without prejudice to the foregoing, Sublessor will consult in good faith with Sublessee up to the Illegality Date as to any steps that may be taken (at no cost to Sublessor) to restructure the transaction to avoid such unlawfulness but will be under no obligation to take any such steps.
