Illegality or Invalidity. (i) It is or will become unlawful for the Borrower to perform or comply with any one or more of its obligations under this Agreement, or (ii) any one or more of the Borrower’s obligations under this Agreement are or become invalid, and in each case the Majority Lenders determine that the unlawfulness of the relevant obligation(s) is material.
Illegality or Invalidity. In the event that any provision of this Agreement is held illegal or invalid for any reason, such illegality or invalidity shall at the option of the Party against whom the same is asserted not affect the remaining parts of this Agreement, but this Agreement shall be construed and enforced as if that illegal and invalid provision had never been inserted herein.
Illegality or Invalidity. If any provision of this Agreement (or any portion thereof) shall be held to be invalid, illegal or unenforceable, the validity, legality or enforceability of the remainder of this Agreement shall not be in any way affected or impaired thereby.
