Common use of Illegal Use of Funds Clause in Contracts

Illegal Use of Funds. None of the funds being used to purchase the Purchaser’s Securities are to the Purchaser’s knowledge proceeds obtained or derived directly or indirectly as a result of illegal activities. The funds being used to purchase the Purchaser’s Securities which will be advanced by the Purchaser to the Co-operative hereunder will not represent proceeds of crime for the purposes of the Proceeds of Crime (Money Laundering) Act (Canada) (the “PCMLA”) and the Purchaser acknowledges that the Co-operative may in the future be required by law to disclose the Purchaser’s name and other information relating to this Subscription Agreement and the Purchaser’s subscription hereunder, on a confidential basis, pursuant to the PCMLA. To the best of its knowledge (i) none of the funds to be provided by the Purchaser are being tendered on behalf of a person or entity who has not been identified to the Purchaser, and (ii) it shall promptly notify the Co-operative if the Purchaser discovers that any of such representations cease to be true, and to provide the Co-operative with appropriate information in connection therewith;

None of the funds being used to purchase the Purchaser’s Securities Units are to the Purchaser’s knowledge of the Purchaser proceeds obtained or derived directly or indirectly as a result of illegal activities. The funds being used to purchase the Purchaser’s Securities Units which will be advanced by the Purchaser to the Co-operative Fund hereunder will not represent proceeds of crime for the purposes of the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (Canada) (the “PCMLAPCMLTFA”) and the Purchaser acknowledges that the Co-operative Fund may in the future be required by law to disclose the Purchaser’s name and other information relating to this Subscription Agreement and the Purchaser’s 's subscription hereunder, on a confidential basis, pursuant to the PCMLAPCMLTFA. To the best of its knowledge (i) knowledge, none of the funds to be provided by the Purchaser (i) have been or will be derived from or related to any activity that is deemed criminal under the law of Canada, the United States, or any other jurisdiction, or (ii) are being tendered on behalf of a person or entity who has not been identified to the Purchaser, and (ii) it shall . The Purchaser covenants to promptly notify the Co-operative Fund if the Purchaser discovers that any of such representations cease ceases to be true, and to provide the Co-operative Fund with appropriate information in connection therewith;

None of the funds being used to purchase the Purchaser’s Securities FT Shares are to the Purchaser’s or the Beneficial Purchaser’s knowledge proceeds obtained or derived directly or indirectly as a result of illegal activities. The funds being used to purchase the Purchaser’s Securities FT Shares which will be advanced by the Purchaser to the Co-operative Company hereunder will not represent proceeds of crime for the purposes of the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (Canada) (the “PCMLAPCMLTFA”) and the Purchaser acknowledges that the Co-operative Company may in the future be required by law to disclose the Purchaser’s name and other information relating to this Subscription Agreement and the Purchaser’s subscription hereunder, on a confidential basis, pursuant to the PCMLAPCMLTFA. To the best of its knowledge (i) the Purchaser’s knowledge, none of the funds to be provided by the Purchaser or the Beneficial Purchaser are being tendered on behalf of a person or entity who has not been identified to the Purchaser, and (ii) it the Purchaser shall promptly notify the Co-operative Company if the Purchaser or the Beneficial Purchaser discovers that any of such representations cease to be true, and to shall promptly provide the Co-operative Company with appropriate all necessary information in connection therewith;

The funds being used to purchase the PurchaserSubscriber’s Securities Shares which will be advanced by the Purchaser Subscriber to the Co-operative Corporation hereunder will not represent proceeds of crime for the purposes of the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (Canada) (the “PCMLAPCMLTFA”) and the Purchaser Subscriber acknowledges that the Co-operative Corporation may in the future be required by law to disclose the PurchaserSubscriber’s name and other information relating to this Subscription Agreement and the Purchaser’s Subscriber's subscription hereunder, on a confidential basis, pursuant to the PCMLAPCMLTFA. To the best of its knowledge (i) none of the funds to be provided by the Purchaser Subscriber are being tendered on behalf of a person or entity who has not been identified to the PurchaserSubscriber or have been or will be derived from or related to any activity that is deemed criminal under the laws of Canada, the United States or any other jurisdiction; and (ii) it shall promptly notify the Co-operative Corporation if the Purchaser Subscriber discovers that any of such representations cease to be true, and to provide the Co-operative Corporation with appropriate information in connection therewith;
