IBA Sample Clauses
The IBA (Independent Business Associate) clause defines the relationship between the parties as independent contractors rather than as employer and employee or partners. It typically clarifies that each party is responsible for its own taxes, insurance, and employment obligations, and that neither party has authority to bind the other in contracts or commitments. This clause is essential for preventing misunderstandings about the nature of the business relationship and for limiting liability by ensuring that each party remains responsible for its own actions and obligations.
IBA. A maximum of six representatives designated by the Board shall meet with as many as six representatives designated by the each employee group to discuss and to attempt to reach, in good faith, a mutually satisfactory proposal for Governing Board approval.
IBA. A maximum of four representatives designated by the Superintendent shall meet with as many as four representatives designated by each employee group to discuss and to attempt to reach, in good faith, a mutually satisfactory proposal for Board approval. If the membership of a recognized Association falls below fifteen (15%) of total number of employees eligible to join the Association, then the number of designated representatives for such Association shall be reduced to one representative.
IBA provided, IBA shall be free to proceed with the proposed publication without restriction. In the event that a delay of the proposed publication is required, IBA shall withhold such submission for publication for an additional period agreed upon in good faith by the Parties, however no longer than eighteen (18) months after submission of a respective patent application by Boehringer Turkey. If Boehringer Turkey submits during the sixty (60) day period any modification proposals to IBA, these proposals shall be considered, unless the modification proposals prejudice the scientific character of the publication, in particular the obligation to be truthful and objective. In case of disputes the Parties shall use their best efforts to reach an amicable settlement.
IBA. The term “IBA” shall have the meaning set forth in Section 34.2.
