Hypercom Requested Changes. Hypercom may, at Hypercom’s cost, amend Hypercom drawings or designs, or the Specifications, through an ECO, provided Hypercom pays to MiTAC any reasonable non-recurring charges, if any, and/or revised Prices for such Finished Products. Subject to agreement in the charges and expenses and/or revised Prices, MiTAC shall implement such changes within a period of time as mutually agreed by the Parties. Where the ECO is required to bring Finished Products into compliance with applicable laws, statutes, regulations, codes, standards or other requirements, MiTAC shall use best efforts, implement the changes as soon as possible.

Hypercom may, at Hypercom’s cost, amend Hypercom drawings or designs, or the Specifications, through an ECN at any time prior to the manufacture of the affected Products, provided Hypercom pays to Venture any reasonable non-recurring charges, if any, and/or revised Prices for such Products. Subject to agreement in the charges and expenses and/or revised Prices, Venture shall implement such amendment within a period of time as mutually agreed by the parties. Where the ECN is required to bring Products into compliance with applicable laws, statutes, regulations, codes, standards or other requirements, Venture shall, at Hypercom’s cost and using commercially reasonable efforts, implement the amendment as soon as possible.
