Humanization Program. Upon receipt of the Cell Line, subject to Section 2.06, PDL shall promptly commence and diligently use commercially reasonable efforts to apply its humanization technology to the Murine Antibody selected by PROGENICS with the objective of producing a Humanized Antibody and a cell line that expresses the Humanized Antibody (hereinafter, the “Program”) having the properties described below. The Program will be conducted as follows:
