HSR Act and Other Regulatory Approvals. All necessary waiting periods -------------------------------------- under the HSR Act that are applicable to the Merger shall have expired or been earlier terminated, and all other necessary approvals from any other Governmental Entity that are applicable to the Merger shall have been obtained, except for such approvals the failure of which to obtain could not reasonably be expected to have a Material Adverse Effect.
