Hosted UPS Technology Sample Clauses

The Hosted UPS Technology clause defines the terms under which a party is permitted to access and use UPS's proprietary technology through a hosted or cloud-based platform. Typically, this clause outlines the scope of permitted use, any restrictions on modification or redistribution, and the responsibilities of the user regarding data security and compliance. For example, it may specify that the technology can only be used for certain business purposes and must not be reverse-engineered. Hosted UPS Technology. Certain UPS Technology is hosted by UPS, UPS Affiliates or vendors of UPS or UPS Affiliates. Hosted UPS Technology is hosted on servers in the United States of America and is scheduled to be available twenty-four (24) hours a day, seven (7) days a week (other than when unavailable for maintenance); however, UPS does not guarantee the availability of hosted UPS Technology, or that access will be uninterrupted or error-free. UPS reserves the right to interrupt, limit, or suspend hosted UPS Technology from time to time for purposes of maintenance, upgrades and similar reasons. You agree that neither UPS nor UPS Affiliates shall be held responsible or liable for any Damages arising from any interruption, suspension or termination of hosted UPS Technology, regardless of the cause.
