Common use of Holders of Certificates Clause in Contracts

Holders of Certificates. From and after the Effective Time, the holders of Certificates (other than Certificates representing Dissenting Shares) shall cease to have any rights with respect to such Certificates, except the right to receive the Per Share Merger Consideration, without interest, with respect to each of the shares represented thereby.

Holders of Certificates. From and after the Effective Time, the holders of Certificates (other than Certificates representing Dissenting Shares) shall cease to have any rights with respect to such Certificates, except the right to receive the Per Share Merger Common Stock Consideration or the Preferred Stock Consideration, without interestas applicable, with respect to each of the shares represented thereby.

Holders of Certificates. From and after the Effective Time, the holders of Certificates (other than Certificates representing Dissenting Shares) shall cease to have any rights with respect to such Certificates, except the right to receive the Per Share Merger Consideration, without interest, portion of the Purchase Price payable with respect to each of the shares represented thereby.

From and after the Effective Time, the holders of Certificates (other than Certificates representing Dissenting Shares) shall cease to have any rights with respect to such Certificates, except the right to receive the Per Share Merger Common Stock Consideration or the applicable Preferred Stock Consideration, as applicable, without interestinterest thereon, with respect to each of the shares represented thereby.

From and after the Effective Time, the holders of Certificates (other than Certificates representing Dissenting Shares) shall cease to have any rights with respect to such Certificates, except the right to receive the Per Share Merger Consideration, without interest, applicable Closing Date Payments and the Distribution Amount (if any) with respect to each of the shares represented therebythereby in accordance with Section 2.8 and Section 2.9.
