Holder Qualifications. Each Holder is (i) a “qualified institutional buyer” within the meaning of Rule 144A promulgated under the 1933 Act, (ii) an “Institutional Account” as defined in FINRA Rule 4512(c), and (iii) a sophisticated institutional investor, experienced in investing in private transactions and capable of evaluating investment risks independently, both in general and with regard to all transactions and investment strategies involving a security or securities, including its participation in the Exchange. Each Holder has determined based on its own independent review and such professional advice as it deems appropriate that its acquisition
Holder Qualifications. Each Holder is (i) a “qualified institutional buyer” within the meaning of Rule 144A promulgated under the 1933 Act, (ii) an “Institutional Account” as defined in FINRA Rule 4512(c), and (iii) a sophisticated institutional investor, experienced in investing in private transactions and capable of evaluating investment risks independently, both in general and with regard to all transactions and investment strategies involving a security or securities, including its participation in the Exchange. Each Holder has determined based on its own independent review and such professional advice as it deems appropriate that its acquisition of the Exchange Shares and participation in the Exchange (i) is fully consistent with its financial needs, objectives and condition, (ii) complies and is fully consistent with all investment policies, guidelines and other restrictions applicable to it, (iii) has been duly authorized and approved by all necessary action, and (iv) is a fit, proper and suitable investment for it, notwithstanding the substantial risks inherent in investing in or holding the Exchange Shares.
Holder Qualifications. The Holder has such knowledge and experience in financial and business matters that the Holder is capable of evaluating the merits and risks of this prospective investment, has the capacity to protect the Holder’s own interests in connection with this transaction and is financially capable of bearing a total loss of the shares of Parent Common Stock.
