Common use of HEALTHCARE LIABILITIES Clause in Contracts

HEALTHCARE LIABILITIES. (i) All of the Liabilities of Healthcare under, or to be retained or assumed by Healthcare pursuant to, this Agreement or any of the Related Agreements, including those set forth on Schedule 1.01(c), (ii) all Liabilities for payment of outstanding drafts of LTC attributable to the Healthcare Business existing as of the Distribution Date, and (iii) all Liabilities arising out of or in connection with any of the Healthcare Assets or the Healthcare Business.
