HCCH and the Surviving Corporation shall until the second anniversary of the Closing Date, maintain or cause to be maintained in effect errors and omissions or malpractice insurance policies maintained by Xxxxxxx as of the Closing Date (or policies of at least the same coverage and amounts containing terms that are no less advantageous to the insured party) with respect to claims arising from facts or events that occurred on or prior to the Closing Date.
