Hardware Upgrades. Xenogen shall notify IRM or Permitted Users if additional hardware with enhanced functionality for in vivo imaging (“Hardware Upgrade”) becomes available from Xenogen. At IRM’s or Permitted Users’ option, the parties shall then negotiate in good faith the terms on which such a Hardware Upgrade could be made available to IRM or Permitted Users. ***

Hardware Upgrades. Customer recognizes and acknowledges that as a replacement unit may contain a different or upgraded software version or other product variants that have developed or evolved over time, a possibility exists that such replacement unit may not be immediately compatible with Customer’s operating environment such as to require Customer to make adjustments to its operating environment.
Hardware Upgrades. This Agreement excludes adding capacity to the physical components of the Covered Device, whether such hardware is internal or external (e.g., installation of new physical components that provide extra capability) (“Hardware Upgrades”).
Hardware Upgrades a) During the warranty period set out in the OEM Agreement, Castle shall provide, free of charge, any hardware upgrades required to remedy a non-conformance of the hardware to specifications. Upgrades will be provided on a return to factory basis, except as otherwise agreed. Field upgrades are the responsibility of the first/second line support provider. These upgrades shall be performed in accordance with the Repair and Return process set out in SCHEDULE C.

This response period does not include time requested to reload the operating system or applications. If the installation does not meet this service level, Customer will be eligible for SLA credits as provided in Table B below for the future fees directly related to the hardware upgrade if the Customer follows the approved procedure. Hardware Upgrades. ‌ All hardware upgrades issued by the manufacturers of equipment items or future replacements are specifically excluded from the scope of work under this Maintenance Services.

Hardware Upgrades. Licensor shall notify Licensee as soon as is practicable, but at least one (1) month in advance, of any routine Hardware upgrade or substitution to be made by Licensor. Prior to or concurrent with such advance notice, Licensor shall provide Licensee with a project plan covering such upgrade or substitution which shall contain details regarding the scope, upgrade process, Hardware specifications and upgrade procedure. Licensee shall have the right to review, comment upon and approve routine Hardware Upgrades, and shall have the right, upon written notification to Licensor prior to any such planned Hardware upgrade, to defer implementation of same for up to six (6) months. Licensee's approval to any routine Hardware upgrade shall be evidenced by its written countersignature to the Hardware upgrade or substitution project plan.
