HANDING OVER. 12.1. If not differently agreed in written by the Parties all purchased goods, equipment and vehicles drawn from the Grant in the framework of the Project will be handed over to the final beneficiary institution(s) (e.g. the health centre, school, day care centre / institute municipality, consortium of producers, no profit associations and any other public service providers, etc.) at the end of the Project. In the case of no profit associations, decision must be taken based on the approval of the IADSA MC
HANDING OVER. 3 (Final) Upon successful completion of all works including the four years maintenance program the Contractor shall inform the Purchaser in writing by registered letter that all the works under the Contract have been completed. Within 15 (fifteen) days after such notice, the Purchaser shall issue a Certificate of Handing Over 3 (final to the Contractor which relieves the Contractor of all Contractual obligations. Certificate by Rights If any Certificate of Acceptance or Certificate of Handing Over have not been issued within 30 (thirty) days after the date of registered letter from Contractor to project officer, submitting records of the corresponding work or works, and if the project officer has not raised any objections, the Certificate of Acceptance or Certificate of Handling Over will be automatically considered as effective by rights.
HANDING OVER. The Employee agrees that all originals and all copies of any and all material containing, representing, evidencing, recording, or constituting all or part of the Intellectual Property, however and whenever produced (whether by the Employee or others) and whether or not protected under copyright law or patentable or protected under other intellectual property law, shall be immediately handed over to the Company upon its creations and any copies thereof returned to the Company upon termination of the Employee’s employment for any reason.

In the event that the goods delivered are put into service before a handing over meeting has been held, the responsibility for operating and maintaining the parts put into ser- vice shall pass to the buyer and the obligation to remedy any defects in such parts shall be counted from the time when the parts were put into service. In the event that the buyer cannot/will not take delivery of the goods at the agreed time of de- livery, the transfer of the risk shall take place at this time, and the buyer shall arrange for adequate storage and necessary insurance for his own account.

HANDING OVER. 8.1 The Parties agree: on the second day after Party A’s repayment of the RMB20,000,000.00 of bank loan of LifeTech Pharmaceuticals in accordance with 5.4 and the payment of the first installment of equity transfer price in an amount of RMB3,750,000.00 in accordance with 2.2 (“Handing-over Date”), the handing-over of the assets of LifeTech Pharmaceuticals shall start.

  • Holding Over If Lessee for any reason remains in possession of the Leased Property after the expiration or earlier termination of the Term, such possession shall be as a tenant at sufferance during which time Lessee shall pay as rental each month 150% of the aggregate of (a) one-twelfth of the aggregate Base Rent and Percentage Rent payable with respect to the last Fiscal Year of the Term, (b) all Additional Charges accruing during the applicable month and (c) all other sums, if any, payable by Lessee under this Lease with respect to the Leased Property. During such period, Lessee shall be obligated to perform and observe all of the terms, covenants and conditions of this Lease, but shall have no rights hereunder other than the right, to the extent given by law to tenancies at sufferance, to continue its occupancy and use of the Leased Property. Nothing contained herein shall constitute the consent, express or implied, of Lessor to the holding over of Lessee after the expiration or earlier termination of this Lease.

  • TENANT'S HOLD OVER If Tenant remains in possession of the Premises with the consent of Landlord after the natural expiration of this Agreement, a new tenancy from month-to-month shall be created between Landlord and Tenant which shall be subject to all of the terms and conditions hereof except that rent shall then be due and owing at DOLLARS ($ ) per month and except that such tenancy shall be terminable upon thirty (30) days written notice served by either party.

  • Emergency Escalation Escalation is strictly for purposes of notifying and investigating possible or potential issues in relation to monitored services. The initiation of any escalation and the subsequent cooperative investigations do not in themselves imply that a monitored service has failed its performance requirements. Escalations shall be carried out between ICANN and Registry Operators, Registrars and Registry Operator, and Registrars and ICANN. Registry Operators and ICANN must provide said emergency operations departments. Current contacts must be maintained between ICANN and Registry Operators and published to Registrars, where relevant to their role in escalations, prior to any processing of an Emergency Escalation by all related parties, and kept current at all times.

  • Turn-Over After the occurrence and during the continuance of any Default (including the commencement and continuation of any proceeding under any Bankruptcy Law relating to any other Loan Party), each Guarantor shall, if the Administrative Agent so requests, collect, enforce and receive payments on account of the Subordinated Obligations as trustee for the Secured Parties and deliver such payments to the Administrative Agent on account of the Guaranteed Obligations (including all Post Petition Interest), together with any necessary endorsements or other instruments of transfer, but without reducing or affecting in any manner the liability of such Guarantor under the other provisions of this Guaranty.

  • Damage, Destruction or Condemnation If, before legal title or possession of the Property has been transferred to Buyer, any portion of the Property, which portion will cost more than $500,000 to restore is damaged or destroyed without fault of Buyer, then Buyer shall have the option to either (i) terminate this Agreement, in which event the rights and obligations of the parties hereunder shall terminate except as otherwise expressly set forth in this Agreement, and Buyer shall be entitled to a return of the Xxxxxxx Money Deposit less the Independent Consideration, or (ii) proceed with the purchase of the Property without any adjustment to the Purchase Price, in which latter case Seller shall assign to Buyer any amounts due from or pay to Buyer any amounts received from Seller's casualty insurance company as a result of the damage or destruction, excepting therefrom any amounts payable for lost rental or other income and shall credit the Purchase Price by the amount of Seller’s deductible with respect to such casualty insurance. In the event such damage will cost equal to or less than $500,000 to restore, then the transaction shall proceed in accordance with (ii) above. If, before legal title or possession of the Property has been transferred to Buyer, any portion of the Property with a value in excess of $500,000 is taken by eminent domain by any governmental entity, then Buyer shall have the option to either (a) terminate this Agreement, in which event the rights and obligations of the parties hereunder shall terminate except as otherwise expressly set forth in this Agreement, and Buyer shall be entitled to a return of the Xxxxxxx Money Deposit less the Independent Consideration, or (b) proceed with the purchase of the Property without any adjustment to the Purchase Price, in which latter case Seller shall assign to Buyer any amounts due from or pay to Buyer any amounts received from any governmental entity as a result of the taking. In the event the portion of the Property which is taken has a value of equal to or less than $500,000, then the transaction shall proceed in accordance with (b) above.

  • Carry Over Where in any vacation year an employee has not been granted all the vacation leave credited to him, the unused portion of his/her vacation shall be carried over.
