GUARANTOR’S OBLIGATIONS. To the extent the Guarantee of the Registrable Securities is terminated in accordance with the terms of such Guarantee, the Exchange Notes shall not be guaranteed by the Guarantor, the Exchange Offer and registration requirements with respect thereto shall be the sole obligation of the Company, and the Guarantor shall automatically be released from all obligations hereunder.
