Common use of GUARANTOR’S ACKNOWLEDGMENT Clause in Contracts

GUARANTOR’S ACKNOWLEDGMENT. By signing below, each Guarantor (i) -------------------------- acknowledges, consents and agrees to the execution, delivery and performance by the Borrower of this Consent, (ii) acknowledges and agrees that its obligations in respect of its Guaranty Agreement are not released, diminished, waived, modified, impaired or affected in any manner by this Consent, or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Guaranty Agreement, and (iv) acknowledges and agrees that it has no claim or offsets against, or defenses or counterclaims to, its Guaranty Agreement as a result of this Consent.

By signing below, each Guarantor (ia) -------------------------- acknowledges, consents and agrees to the execution, delivery and performance by the Borrower of this ConsentSixth Amendment, (iib) acknowledges and agrees that its obligations in respect of its Guaranty Agreement (i) are not released, diminished, waived, modified, impaired or affected in any manner by this Consent, Sixth Amendment or any of the provisions contemplated herein, (iiic) ratifies and confirms its obligations under its Guaranty AgreementGuaranty, and (ivd) acknowledges and agrees that it has no claim claims or offsets against, or defenses or counterclaims to, its Guaranty Agreement as a result Guaranty, including the release of this ConsentOEL, Ltd. from its obligation under any Guaranty.

GUARANTOR’S ACKNOWLEDGMENT. By signing below, each (a) Guarantor (i) -------------------------- acknowledges, consents and agrees to the execution, delivery and performance by the Borrower Borrowers of this ConsentAmendment, (ii) acknowledges and agrees that its obligations in respect of its Guaranty Agreement are not released, diminished, waived, waived or modified, impaired or affected in any manner by this Consent, First Amendment or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Guaranty AgreementGuaranty, and (iv) acknowledges and agrees that it has no claim claims or offsets against, or defenses or counterclaims to, its Guaranty, and (b) Domestic Guarantor acknowledges and agrees that its Guaranty Agreement also covers the full amount of the Term Loans as a result of established by this ConsentAmendment.
