Common use of GUARANTOR'S ACKNOWLEDGEMENT Clause in Contracts

GUARANTOR'S ACKNOWLEDGEMENT. By signing below, each Guarantor (i) acknowledges, consents and agrees to the execution, delivery and performance by Company of this Third Amendment, (ii) acknowledges and agrees that its obligations in respect of its Guaranty Agreement and Subordination Agreement are not released, diminished, waived, modified, impaired or affected in any manner by this Third Amendment or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Guaranty Agreement and Subordination Agreement, and (iv) acknowledges and agrees that it has no claim or offsets against, or defenses or counterclaims to, its Guaranty Agreement and Subordination Agreement.

By signing below, each Guarantor (i) acknowledges, consents and agrees to the execution, delivery and performance by Company the Borrower of this Third Fourth Amendment, (ii) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty Agreement and Subordination Agreement are not released, diminished, waived, modified, impaired or affected in any manner by this Third Amendment Fourth Amendment, or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Subsidiary Guaranty Agreement and Subordination Agreement, and (iv) acknowledges and agrees that it has no claim or offsets against, or defenses or counterclaims to, its Guaranty Agreement and Subordination AgreementSubsidiary Guaranty.

By signing below, each Guarantor (i) acknowledges, consents and agrees to the execution, delivery and performance by Company the Borrower of this Third First Amendment, (ii) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty Agreement and Subordination Agreement are not released, diminished, waived, modified, impaired or affected in any manner by this Third Amendment or First Amendment, any of the provisions contemplated hereinherein or the Merger, (iii) ratifies and confirms its obligations under its Guaranty Agreement and Subordination AgreementSubsidiary Guaranty, and (iv) acknowledges and agrees that it has no claim or offsets against, or defenses or counterclaims to, its Guaranty Agreement and Subordination AgreementSubsidiary Guaranty.

GUARANTOR'S ACKNOWLEDGEMENT. By signing below, each Guarantor of the Guarantors (i) acknowledges, acknowledges and consents and agrees to the execution, delivery and performance by Company of this Third Fourth Amendment, (ii) acknowledges and agrees that its obligations in respect of its the Guaranty Agreement and Subordination Agreement (A) are not released, diminished, waived, modified, impaired or affected in any manner by this Third Fourth Amendment or any of the provisions contemplated herein, and (iiiB) ratifies and confirms its obligations under its Guaranty Agreement and Subordination Agreementcover, among other things, the Commitment as increased by this Fourth Amendment, and (ivii) acknowledges and agrees that it has no claim claims or offsets against, or defenses or counterclaims to, its the Guaranty Agreement and Subordination Agreement.
