Guarantees; Subrogation. The RHD Group agrees that, in the event the New D&B Group is unable to satisfy its obligations in respect of the benefits of any RHD Employee that have accrued under the Corporation Nonqualified Plans prior to the Effective Time, the RHD Group shall make payment when due with respect to such obligations of the New D&B Group. In the event that the RHD Group is required to make any payment pursuant to this Section 4.7, the RHD Group shall have full rights of subrogation against the New D&B Group.
