Grantee Acknowledgements and Representations. The Grantee understands and agrees that: (i) the Award and any Award Shares will not be registered under the Securities Act, (ii) the Award and any Award Shares will be restricted securities under the Securities Act and (iii) neither the this Award nor any Award Shares may be resold or transferred unless they are first registered under the Securities Act or unless an exemption from such registration is available. The Grantee hereby makes to the Company the representations and warranties set forth in Exhibit C hereto with respect to the Award and any Award Shares.
