Grant Subject to Terms of Plan and this Agreement. The Optionee acknowledges and agrees that the grant of the Option hereunder is made pursuant to and governed by the terms of the Plan and this Agreement. The Optionee acknowledges having received a copy of the Plan. In the case of a conflict between the terms of the Plan and this Agreement, the terms of the Plan will govern.
