GRAMA. Licensee acknowledges that Licensor is subject to the Utah Governmental Records Access and Management Act (“GRAMA”), Section 63-2-101 et seq., Utah Code ▇▇▇. (1953), as amended. Licensor shall keep confidential any information provided to Licensor by Licensee that Licensee considers confidential, to the extent allowable under GRAMA and as provided in Section 53B-16-301 et seq., Utah Code ▇▇▇. In order to be eligible for such protection under GRAMA, confidential information of Licensee disclosed to Licensor must be in written or other tangible form, marked as proprietary, and accompanied by a written claim by Licensee stating the reasons that such information must be kept confidential.
GRAMA. The City is subject to the requirements of the Government Records Access and Management Act, Chapter 2, Title 63G, Utah Code Annotated or its successor, and Chapter 2.64, Salt Lake City Code (collectively “GRAMA"). All materials submitted by the Event Holder pursuant to this Agreement are subject to disclosure unless such materials are exempt from disclosure pursuant to GRAMA. The burden of claiming an exemption from disclosure rests solely with the Event Holder. Any materials for which the Event Holder claims a privilege from disclosure must be submitted to the City marked as "Confidential" and accompanied by a statement from the Event Holder explaining the Event Holder's claim of exemption from disclosure. The City will promptly notify the Event Holder of any requests made for disclosure of documents submitted under a claim of confidentiality. The Event Holder may, at the Event Holder's sole expense, take any appropriate actions to prevent disclosure of such material. The Event Holder specifically waives any claims against the City related to disclosure of any materials required by GRAMA.
GRAMA. AgeX acknowledges that UURF and the University of Utah are subject to the Utah Governmental Records Access and Management Act (“GRAMA”), Section 63-2-101 et seq., Utah Code A▇▇. (1953), as amended, and that UURF has agreed to keep confidential any information provided to UURF by BioTime that BioTime considers confidential, to the extent allowable under GRAMA and as provided in Section 53B-16-301 et seq., Utah Code A▇▇. In order for AgeX’s Confidential Information to be eligible for such protection under GRAMA, Confidential Information of AgeX disclosed to BioTime must be in written or other tangible form, marked as proprietary, and accompanied by a written claim by AgeX stating the reasons that such information must be kept confidential.
GRAMA. Sponsor acknowledges that University is a governmental entity and thus subject to the Government Records Access and Management Act of the Utah Code, Section 63G-2-101 et seq., 1953, as may be amended (“GRAMA”). Pursuant to GRAMA, certain records within University’s possession or control, including this Agreement, may be subject to public disclosure. University hereby informs Sponsor that any person or entity that provides University with records that such person or entity believes should be protected from disclosure for business reasons must, pursuant to Section 63G-2-309 of GRAMA, provide to University, with the record, a written claim of business confidentiality and a concise statement of reasons supporting such claim. Notwithstanding any provision to the contrary in the Agreement, University: (a) is not required to provide notice to Sponsor regarding any third party GRAMA request, and (b) may disclose any information or record to the extent required by GRAMA or otherwise required by law.
GRAMA. The parties acknowledge and agree that City is a governmental entity and is required to comply with the Government Records Access and Management Act (“GRAMA”). No provision of this Agreement shall be deemed to require City to take any action that would violate GRAMA.
GRAMA. Notwithstanding Sections 6(b), 6(c) and 6(d), above, because Seller is a municipal corporation, certain disclosures of Confidential Information or Confidential System Information may be required by state law or may be ordered by a court of competent jurisdiction to comply with Government Records Access and Management Act (GRAMA) or similar laws. Seller agrees to promptly notify Purchaser of any inquiry or demand made, the response to which may require it to divulge Confidential Information or Confidential System Information of Purchaser. Seller will not disclose any such Confidential Information or Confidential System Information in response to any such inquiry or demand unless required to do so by Applicable Law or compulsory process of a Governmental Entity. Prior to any such disclosure, Seller will allow Purchaser a reasonable opportunity to attempt to secure confidential treatment of any such Confidential Information or Confidential System Information by such Governmental Entity and shall cooperate with Purchaser in such effort.
GRAMA. The Parties acknowledge that disclosure of records pursuant to this agreement is subject to the Utah Government Records Access and Management Act, Utah Code ▇▇▇. §63G-7-101, et seq.
GRAMA. University is a governmental entity subject to the Government Records Access and Management Act, Utah Code §§ 63G-2-101 to -901, as amended (“GRAMA”) and Utah Code §§ 53B-16-301 to -305 as amended. Under GRAMA certain records within University’s possession or control, including without limitation, the Agreement, may be subject to public disclosure; and University’s confidentiality obligations shall be subject in all respects to compliance with GRAMA.
