GPC Governing Council. The GPC will have a GPC Governing Council which shall initially be comprised of the principal investigator, the subinvestigator(s) named in each Party’s PCORI Subcontract, and each Party’s chief medical informatics officer or individual designated by such Party. The GPC Governing Council will oversee the Infrastructure and Software Development Core and various GPC Committees. When a majority vote is required to rule on an issue, if a tie vote occurs, no action will be taken on the issue. The tie will be managed by tabling the issue, engaging in negotiations regarding the issue, and recalling the issue for a re-vote at a later time. Notwithstanding the foregoing, the Parties agree that the terms of the PCORI Subcontract shall be determinative and govern as to the issues addressed therein, and shall remain binding upon the Parties as written. In the event of expiration or termination of the PCORI Subcontract, the GPC Governing Council shall consist of two representatives from each Party, who shall be appointed by the chief executive officer of each Party.
