Common use of Governmental Rules Clause in Contracts

Governmental Rules. (a) No Governmental Rule shall ------------------ have been instituted, threatened, issued or proposed to restrain, enjoin or prevent the transactions contemplated hereby or to invalidate, suspend or require modification of any material provision of any Operative Agreement. (b) No change shall have occurred since the date of this Agreement in any Governmental Rule that, in the good faith opinion of Seller, would make it illegal for Seller to consummate the transactions contemplated hereby or subject Seller to any fine, penalty or other liability under or pursuant to any Governmental Rule in connection with any such transaction.
