Governmental Consents. No action, consent or approval of, registration or filing with or any other action by any Governmental Authority is or will be required in connection with the execution and delivery by each Credit Party of this Amendment and the performance by the Applicant and Guarantor of the Amended Agreement and the other Credit Documents, except for such actions, consents and approvals the failure to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effect.

Governmental Consents. No action, consent or approval of, registration or filing with or any other action by any Governmental Authority is or will be required in connection with the execution and delivery by each Credit Party of this Amendment and the performance by the Applicant and Guarantor each Credit Party of the Amended Agreement and the other Credit Documents, except for such actions, consents and approvals the failure to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effect.. No action, consent or approval of, registration or filing with or any other action by any Governmental Authority is or will be required in connection with the execution and delivery by each Credit Loan Party of this Amendment and the performance by the Applicant by, or enforcement against, each Loan Party party hereto and Guarantor thereto of this Amendment and the Amended Agreement and the other Credit Loan Documents, except for such actions, consents and approvals the failure to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effect.

Governmental Consents. No action, consent or approval of, registration or filing with or any other action by any Governmental Authority is or will be required in connection with the execution and delivery by each Credit Party of this Amendment and the performance by NewPageCo, NewPageHoldCo and the Applicant and Guarantor other Credit Parties of the Amended Agreement and the other Credit Documents, except for such actions, consents and approvals the failure to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effect.

No action, consent or approval of, registration or filing with or any other action by any Governmental Authority governmental authority is or will be required in connection with the execution and delivery by each Credit Loan Party of this Amendment and the performance by the Applicant Company and Guarantor Holdings of the Amended Agreement Credit Agreement, as amended hereby, and the other Credit Loan Documents, except for such actions, consents and approvals the failure to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effect.

Governmental Consents. No action, consent or approval of, registration or filing with or any other action by any Governmental Authority is or will be required in connection with the execution and delivery by each Credit Party of this Amendment and the performance by the Applicant and Guarantor Borrower of the Amended Agreement and the other Credit Documents, except for such actions, consents and approvals the failure to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effectAmendment.

No action, consent or approval of, registration or filing with or any other action by any Governmental Authority is or will be required in connection with the execution and delivery by each Credit Loan Party of this Amendment and the performance by the Applicant Borrower and Guarantor Holdings of the Amended Agreement and the other Credit Loan Documents, except for such actions, consents and approvals the failure to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effect.

No action, consent or approval of, registration or filing with or any other action by any Governmental Authority is or will be required in connection with the execution and delivery by each Credit Party of this Amendment and the performance by Borrower or any Guarantor, except, with respect to any increased Commitment amount, the Applicant and Guarantor amendments to the Mortgages to be entered into pursuant to Section 7.13(k) of the Amended Credit Agreement and the other Credit Documents, except for such actions, consents and approvals the failure of which to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effect.

No action, consent or approval of, registration or filing with or any other action by any Governmental Authority governmental authority is or will be required in connection with the execution and delivery by each Credit Party of this Amendment Forebearance Agreement and the performance by the Applicant and Guarantor Company of the Amended Agreement Credit Agreement, and the other Credit Documents, except for such actions, consents and approvals the failure to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effect.

Governmental Consents. No action, consent or approval of, registration or filing with or any other action by any Governmental Authority is or will be required in connection with the execution and delivery by each Credit Party of this Second Amendment and the performance by the Applicant Borrower and Guarantor U.S. Holdings of the Amended Agreement and the other Credit Documents, except for such actions, consents and approvals the failure to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effect.

Governmental Consents. No material action, consent or approval of, registration or filing with or any other action by any Governmental Authority is or will be required in connection with the execution and delivery by each Credit Loan Party of this Amendment Agreement and the performance by by, or enforcement against, each Loan Party party hereto and thereto of this Agreement and the Applicant and Guarantor of the Amended Restated Credit Agreement and the other Credit DocumentsLoan Documents to which it is a party, except for such actions, consents and approvals the failure to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effect.

No material action, consent or approval of, registration or filing with or any other action by any Governmental Authority is or will be required in connection with the execution and delivery by each Credit Loan Party of this Amendment Restatement Agreement and the performance by the Applicant and Guarantor of such Loan Party under this Restatement Agreement, the Amended Credit Agreement and the other Credit Loan Documents, except for such actions, consents and approvals the failure to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effect.

No action, consent or approval of, registration or filing with or any other action by any Governmental Authority governmental authority is or will be required in connection with the execution and delivery by each Credit Loan Party of this Amendment and the performance by the Applicant Company and Guarantor Holdings of the Amended Agreement and the other Credit Loan Documents, except for such actions, consents and approvals the failure to obtain or make which could not reasonably be expected to result in a Material Adverse Effect or which have been obtained and are in full force and effect.
