Common use of Governmental Consent Clause in Contracts

Governmental Consent. Neither the nature of the Company or of any Subsidiary, nor any of their respective businesses or properties, nor any relationship between the Company or any Subsidiary and any other Person, nor any circumstance in connection with the offering, issuance, sale or delivery of the Notes is such as to require any authorization, consent, approval, exemption or any action by or notice to or filing with any court or administrative or governmental body (other than routine filings after the Closing Day for any Notes with the Securities and Exchange Commission and/or state Blue Sky authorities) in connection with the execution and delivery of this Agreement, the offering, issuance, sale or delivery of the Notes or fulfillment of or compliance with the terms and provisions hereof or of the Notes.

Governmental Consent. Neither the nature of the Company Corporation or of any Subsidiary, nor any of their respective businesses or properties, nor any relationship between the Company Corporation or any Subsidiary and any other Person, nor any circumstance in connection with the offering, issuance, sale or delivery of the Notes is such as to require any authorization, consent, approval, exemption or any other action by or notice to or filing with any court or administrative or governmental body Governmental/Judicial Body (other than routine notification filings and payment of applicable fees after the Date of Closing Day for any Notes with the Securities and Exchange Commission and/or state Blue Sky applicable provincial securities authorities) in connection with the execution and delivery of this Agreement, the offering, issuance, sale or delivery of the Notes or fulfillment fulfilment of or compliance with the terms and provisions hereof or of the Notes.
