Common use of Governmental Authorization Clause in Contracts

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no No authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Financial Institution of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunderhereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Originator of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements (or financing statement amendments) required hereunderhereunder or under any other Transaction Document, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for (i) the due execution and delivery by such Seller Party Issuer of this Agreement Indenture and each other Transaction Document to which it is a party and (ii) the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Originator of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Loan Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution execution, delivery and delivery performance by such Seller Party the Issuer of this Agreement Series Supplement, the Indenture, and each other Transaction Related Document to which it is a party and the performance of its obligations hereunder and thereunderparty.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body Governmental Authority is required for the due execution and delivery by such Seller Loan Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority Governmental Authority or regulatory body is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Servicer or Borrower of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party Amendment and the performance of its obligations hereunder and thereunderunder the Existing Agreement as amended hereby.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Transferor of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Borrower Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than (i) the filing of the financing statements required hereunderhereunder or (ii) such authorizations, approvals, notices, filings or other actions as have been obtained, made or taken prior to the date hereof, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party the Originator of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunderhereunder and under the Receivable Sale Agreement, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than (i) the filing of the financing statements required hereunderhereunder or (ii) such authorizations, approvals, notices, filings or other actions as have been obtained, made or taken prior to the date hereof, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Originator of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than (i) the filing of the financing statements required hereunder, under the Receivables Sale Agreement or under the Receivables Transfer Agreement, and (ii) such authorizations, approvals, notices, filings or other actions as have been obtained, made or taken prior to the date hereof, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body Governmental Authority is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunderhereunder and as set forth on Schedule 2.1(d), no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Originator of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority Person or regulatory body any Governmental Authority is required for the due execution and delivery by such Seller Loan Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority Governmental Authority or regulatory body is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such the Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunderthereunder other than those which, if not obtained, would not have a Material Adverse Effect.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body Governmental Authority is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party the Purchaser of this Agreement and each other the Transaction Document to which it is a party Documents and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Originator of this Agreement (or a Joinder Agreement) and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunderhereunder and other than the filing of an 8‑K report with the SEC, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements (or financing statement amendments) required hereunderhereunder or under any other Transaction Document, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for (i) the due execution and delivery by such Seller Party Issuer of this Agreement Base Indenture and each other Transaction Document to which it is a party and (ii) the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunderhereunder and the notice to the Washington Utilities and Transportation Commission (which Servicer has filed), no authorization authorizations, approvals or approval or other action byconsents of, and no notice to notices to, or filing filings or registrations with, any governmental authority or regulatory body is required authority or agency (other than informational filings) are necessary for the due execution and delivery by such Seller Borrower Party of this Agreement and each other Transaction Facility Document to which it is a party and the performance of its obligations hereunder and thereunderthereunder or for the validity or enforceability hereof or thereof.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such the Seller Party or the Master Servicer of this Agreement and each other Transaction Document to which it is a party and the performance of its its' obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Transferor Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution execution, delivery and delivery performance by such Seller Party Obligor of this Master Agreement, the Master Sale Agreement and each other Transaction Document the Series Related Documents to which it such Obligor is a party party, except for such authorizations, approvals, actions, notices and the performance of its obligations hereunder and thereunderfilings as have already been obtained, taken or made in connection with Municipal Contracts.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body Governmental Authority is required for the due execution execution, delivery and delivery performance by such Seller Party the Guarantor of the Related Documents to which it is a party. No injunction, writ, restraining order or other order of any nature adversely affects the Guarantor’s performance of its obligations under this Agreement and each Guaranty or any other Transaction Related Document to which it is a party and the performance of its obligations hereunder and thereunderparty.

Governmental Authorization. Other than (i) the filing of the financing statements required hereunderhereunder and under the Purchase Agreement and (ii) such authorizations, approvals, notices, filings or other actions as have been obtained, made or taken prior to the date hereof, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body Governmental Authority is required for the due execution and delivery by such Seller Party Originator of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the its due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Bowater or Borrower of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Person of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunderthereunder except where the failure to obtain such authorization or approval or take such action or make such notice or filing could not reasonably be expected to have a Material Adverse Effect.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party ArvinMeritor or Borrower of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution execution, delivery and delivery performance by such Seller Party Obligor of this Master Agreement and each the other Transaction Document Series Related Documents to which it such Obligor is a party party, except for such authorizations, approvals, actions, notices and the performance of its obligations hereunder and thereunderfilings as have already been obtained, taken or made in connection with Government Contracts.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution execution, delivery and delivery performance by such Seller Party the Issuer of this Agreement Series 1998-1 Supplement, the Indenture, and each other Transaction Series 1998-1 Related Document to which it is a party and the performance of its obligations hereunder and thereunderparty.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such the Seller Party of this Agreement and each other the Transaction Document to which it is a party Documents and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunderhereunder that were duly filed on or about the Original Closing Date, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Interface of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority Governmental Authority or regulatory body is required for the due execution and delivery by such Seller Party Servicer, Borrower, or Parent of this Agreement and each other Transaction Document the Loan Documents to which it is a party and the performance of its obligations hereunder and thereunder, as applicable.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution execution, delivery and delivery performance by such Seller Party Obligor of this Master Agreement, the Contribution Agreement and each other Transaction Document the Series Related Documents to which it such Obligor is a party party, except for such authorizations, approvals, actions, notices and the performance of its obligations hereunder and thereunderfilings as have already been obtained, taken or made in connection with Municipal Contracts.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party OMNOVA of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party ASP of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required contemplated hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body Governmental Authority that has not been obtained is required for the due execution and delivery by such Seller Party Borrower of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Transaction Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party either Servicer or Borrower of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Morningstar of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing filling of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution execution, delivery and delivery performance by such Seller Party the Originator of this Agreement and each other the Transaction Document Documents to which it the Originator is a party and the performance of its obligations hereunder and thereunderparty.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party Transferor of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Other than the filing of the financing statements required hereunder, no No authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution and delivery by such Seller Party the Servicer of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder other than those authorizations and thereunderapprovals that have been obtained and those notices and filings that have been made, except that would not have a material adverse effect on the Servicer’s abilities to perform its obligations hereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body that has not been obtained is required for the due execution and delivery by such Seller Borrower Party of this Agreement and each other Transaction Document to which it is a party and the performance of its obligations hereunder and thereunder.

Governmental Authorization. Other than the filing of the financing statements required hereunder, no authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution execution, delivery and delivery performance by such Seller Party the Issuer of this Agreement Series 1998-1 Supplement, the Indenture, and each other Transaction Series 1998-1 Related Document to which it is a party and the performance of its obligations hereunder and thereunderparty. Governmental Authorization.
