Governmental and Regulatory Consents. All required consents, ------------------------------------ approvals, permits and authorizations to the consummation of the transactions contemplated hereby by the Company, Radio Broadcasting and Evergreen shall be obtained from any Governmental Entity (other than the FCC) whose consent, approval, permission or authorization is required by reason of a change in law after the date of this Agreement, unless the failure to obtain such consent, approval, permission or authorization could not reasonably be expected to have a Surviving Corporation Material Adverse Effect, or to materially and adversely affect the validity or enforceability of this Agreement or the Merger.
