Common use of Governmental Actions Clause in Contracts

Governmental Actions. Assuming the representations and warranties of the Facility Lessee contained in paragraphs (j), (k), (l), (m), (q), (z), (ff) and (hh) of Section 3.1 are true, no authorization or approval or other action by, and no notice to or filing or registration with, any Governmental Entity is required for the due execution, delivery or performance by the Trust Company or the Lessor Manager, as the case may be, of the LLC Agreement, this Agreement or the other Operative Documents to which the Trust Company or the Lessor Manager is or will be a party, other than any such authorization or approval or other action or notice or filing as has been duly obtained, taken or given.

Governmental Actions. Assuming the representations and warranties of the Facility Lessee contained in paragraphs clauses (d), (i), (j), (k), (l1), (m), (qn), (zo), (ff) and (hhz) of Section 3.1 are true, no authorization authorization, determination or approval or other action by, and no notice to or filing or registration with, any Governmental Entity is required for the due execution, delivery or performance by the Trust Company by, or the validity or enforceability as against, the Owner Lessor Manager, as the case may be, of the LLC Agreement, this Agreement or any of the other Operative Documents to which the Trust Company or the Owner Lessor Manager is or will be a party, other than any such authorization or approval or other action or notice or filing as has been duly obtained, taken or given.
