Common use of Governing State Clause in Contracts

Governing State. This Agreement shall be governed by and constituted in accordance with the laws of the State of California (without regard to its conflicts of laws principles). The parties’ consent to the jurisdiction and venue of the state or federal courts in Fairfield County, Connecticut, in all matters arising out of or relating to this Agreement or otherwise arising between the patties, and the parties waive any objection based on forum non convenience and any objection to venue in connection therewith.
